About the job

A diverse and responsible role, incorporating a wide variety of challenging and interesting tasks. The main priorities include: upkeep of legal records and contracts administration processes, managing the non-disclosure agreements (“NDA”) process in Europe Middle East and Africa (EMEA) and North America, assisting Legal Counsel with contract reviews in line with Zebra guidelines, upkeep of some of the company’s entities and branches across EMEA ensuring compliance with local legislation, and supporting the smooth running of the EMEA Legal Department. The successful candidate will be able to manage tasks and projects independently as well as supporting the lawyers in EMEA, North America and other Legal Department team members globally. They will also be involved with both local and global projects working with colleagues at all levels and in many functions of the business including sales, marketing, finance, tax and HR.

Responsibilities:

Responsibilities

  • Contracts support

  • Assist lawyers with review of contracts including Software-As-A-Service contracts, parent company guarantees, commercial contract renewals, procurement and third party vendor contracts, legal advice and research.

  • Manage signature processes for contracts and other legal documents through Zebra's electronic signing tool.

  • Upload executed contracts, amendments and other documents into the relevant record in Zebra’s Contract Lifecycle Management Tool and file paper copies, if provided, by legal department lawyers.

  • Provide training to other departments with support of lawyers.

  • Be main point of contact for non-standard NDA’s and support NDA process

  • Be familiar with NDA self service tool and support sales colleagues across EMEA and North America with regards to producing standard NDA’s.

  • Review requests for modifications to the standard NDA agreement and respond as necessary

  • Review and mark-up third party agreements in line with Zebra NDA policy requirements and liaise with legal department lawyers for assistance with this if required.

  • Liaise with legal operations colleagues in US for queries relating to the functionality of the tool and any system issues.

  • Ensure that NDAs are executed correctly and uploaded into the database and activated.

  • Support and manage company secretarial compliance being supplemental point of contact to the Company Secretarial Senior Legal Assistant on EMEA Company Secretarial matters as listed below.

  • Day to day company secretarial requirements for Zebra’s legal entities and branches. This includes preparation and review of minutes, consents, notices, resolutions, powers of attorney and other governance-related documents often in conjunction with outside legal counsel.

  • Receive advice and notifications from outside legal counsel, e.g. annual accounts filing dates, new local legal legislation affecting Zebra entities which may require action.

  • Circulate documents for director signatures in the most cost and time efficient way and arrange for notarising and apostille of documents where required.

  • Support the set-up of new legal entities and branches, entity rationalization projects, including mergers, liquidations, strike offs and de-registrations in conjunction with the tax and finance teams in both EMEA and the US.

  • Involvement with ad hoc company projects, instructing outside counsel and managing costs and billing. Such projects include:

  • Director changes

  • Banking and borrowing authorities & opening new bank accounts

  • Powers of Attorney

  • Registered address changes

  • Dividends

  • Shareholder changes

  • Company name changes

  • Liaise with the Brno (Czech Republic) and UK finance teams for filing of annual financial statements and ensuring company compliance in line with local requirements.

  • File emails and company records and documents in a timely manner in the relevant shared mailbox and databases.

  • Respond to requests from colleagues for copies of company documents, minutes and resolutions etc.

  • Work collaboratively with the EMEA company secretarial Senior Legal Assistant and the US company secretarial legal support.

  • Miscellaneous

  • Provide training on NDA and other processes in conjunction with lawyers.

  • Arrange for dispatch of documents by courier using the UPS online shipping application.

  • Keep information in the EMEA Legal Team Resource folder updated.

  • Online completion of annual learning assignments as directed through the Company’s Knowledge Centre, e.g. information security, privacy and data protection and participate in ad hoc workshops as part of Zebra’s ongoing commitment to harmonizing the company’s culture and values.

  • Provide administrative support to the team including arranging team meetings, managing travel and expenses.

Qualifications:

  • A keen learner who can absorb information, developing new legal skills and areas of expertise quickly.

  • Some relevant experience and / or qualifications as a legal assistant or paralegal within a global commercial environment. You may have the Legal Practice Course qualification and be interested in pursuing your own career development.

  • Strong MS Office skills, along with the ability and willingness to learn and use specialist tools and applications.

  • Attention to detail and accuracy is paramount, whilst prioritising the workload and balancing multiple tasks in a confidential environment.

  • Ability to communicate and work with colleagues and stakeholders in countries across EMEA and North America;
